Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Marchitect website located at marchitect.com (the "Site"), the Marchitect Portal, the marketing assessment tool, and any related services (collectively, the "Services") operated by Kodi Consulting LLC ("Marchitect," "we," "us," or "our").

By accessing or using the Site or any of the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Services Overview

Marchitect provides marketing strategy consulting, decision-making frameworks, and supporting tools — including the Marchitect Portal (a client workspace platform) and a free marketing assessment tool — to help businesses improve the clarity and performance of their marketing operations. These Terms apply to all visitors, leads, clients, and other users of the Site and Services.

2. Marketing Assessment Tool

The free marketing assessment ("Assessment") is provided for informational and lead-generation purposes. Results are directional — they identify potential gaps in your marketing infrastructure based on your responses — and do not constitute a formal audit, professional opinion, or guarantee of any outcome.

By completing the Assessment, you agree that:

  • Marchitect may use your responses to personalize follow-up communications.
  • Results are not binding recommendations and should not be acted on as a substitute for a qualified strategy engagement.
  • Marchitect is not liable for any decisions made based solely on Assessment output.

3. Client Engagements

Consulting services — including retainer engagements, workshops, and access to the Marchitect Portal — are governed by a separate Statement of Work (SOW) or service agreement executed between Marchitect and the client. In the event of a conflict between these Terms and a signed service agreement, the service agreement controls.

If you are a prospective client using the Site or Portal prior to a signed agreement, these Terms apply in full.

4. Marchitect Portal

Access to the Marchitect Portal is provided to active clients only. By using the Portal, you agree to:

  • Keep your login credentials confidential and not share access with unauthorized parties.
  • Use Portal data and deliverables solely for your internal business purposes.
  • Not reverse-engineer, export, or reproduce the Portal's AI-assisted processes, frameworks, or outputs for commercial use outside of your engagement.

Marchitect reserves the right to suspend or terminate Portal access for violation of these Terms or upon conclusion of an engagement.

5. Intellectual Property

All content on the Site and in the Services — including written copy, frameworks, methodologies, the Marchitect name and logo, Portal architecture, and workshop materials — is the intellectual property of Kodi Consulting LLC and protected by applicable copyright and trademark laws.

Client deliverables produced during an active engagement (such as Marketing Playbooks, strategy documents, and audit outputs) are licensed to the client for their internal business use. Marchitect retains the underlying methodology, frameworks, and tools used to produce those deliverables.

You may not reproduce, republish, or redistribute any Site content or framework materials without prior written consent from Marchitect.

6. User Conduct

When using the Site or Services, you agree not to:

  • Submit false, misleading, or fraudulent information in any form or assessment.
  • Attempt to gain unauthorized access to any system, account, or data.
  • Use the Services to compete with or replicate Marchitect's business model.
  • Engage in any conduct that disrupts or interferes with the Site or other users' access to it.

7. Third-Party Tools and Integrations

The Services may include or connect to third-party tools (such as CRM platforms, analytics software, or AI services). Marchitect is not responsible for the data practices, availability, or performance of third-party services. Your use of integrated tools is subject to those providers' own terms and privacy policies.

8. Disclaimers

The Site and Services are provided "as is" and "as available" without warranties of any kind, express or implied. Marchitect does not warrant that:

  • The Site will be uninterrupted, error-free, or secure.
  • Results from the Assessment or any consultation will achieve specific business outcomes.
  • Any content on the Site is complete, accurate, or up to date at all times.

Marketing involves inherent uncertainty. Strategy recommendations are based on available information and professional judgment — they are not guarantees of revenue, growth, or ROI.

9. Limitation of Liability

To the fullest extent permitted by law, Kodi Consulting LLC and its team members will not be liable for any indirect, incidental, special, or consequential damages — including lost revenue, lost data, or business interruption — arising from your use of the Site or Services, even if we have been advised of the possibility of such damages.

Our total liability to you for any direct damages will not exceed the amount you paid to Marchitect in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Kodi Consulting LLC, its owners, employees, and contractors from any claims, losses, or damages — including reasonable legal fees — arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

11. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law provisions. Any disputes arising under these Terms will be resolved in the courts of Denver County, Colorado, and you consent to exclusive jurisdiction in that venue.

12. Changes to These Terms

Marchitect reserves the right to update these Terms at any time. When we do, we will revise the "Last Updated" date at the top of this page. Continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
